These Terms of Service (“Terms”) govern your access to and use of the website, products, services, checkout, account features, custom design tools, and other online or in-person services offered by ICEBOX, INC. and Icebox Diamonds & Watches (“Icebox,” “we,” “us,” or “our”).

By visiting our website, creating an account, placing an order, submitting information, requesting a custom project, or otherwise using our services, you agree to be bound by these Terms and by our Privacy Policy, Return & Refund Policy, Shipping Policy, Warranty Policy, Cookies Policy, and any other policies or terms referenced on our website.

If you do not agree to these Terms, you may not access or use our website or services.

1. Use of Our Website

You may use our website only for lawful purposes and in accordance with these Terms. By using our website, you agree that you will:

Provide accurate, current, and complete information when creating an account, placing an order, submitting a custom request, or contacting Icebox.

Use the website only for lawful, personal, and non-commercial purposes unless otherwise authorized by Icebox.

Comply with all applicable laws, rules, and regulations.

Not interfere with the security, operation, availability, or functionality of the website.

Not attempt to gain unauthorized access to any part of the website, user account, server, database, payment system, or connected system.

Not use bots, scrapers, crawlers, automated tools, or other methods to extract, copy, collect, monitor, or misuse website data or content.

Not upload, transmit, or distribute viruses, malware, harmful code, spam, or any material that may damage or interfere with our systems.

We reserve the right to suspend, restrict, or terminate access to our website or services if we believe a user has violated these Terms or created risk for Icebox, our customers, our partners, or our systems.

1. Accounts

You may be able to create an account with Icebox. You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account.

You agree to notify Icebox immediately if you believe your account has been accessed or used without authorization. Icebox is not responsible for losses arising from unauthorized account access caused by your failure to protect your login credentials.

We reserve the right to suspend, close, or restrict any account that violates these Terms, appears fraudulent, creates security risk, or is otherwise misused.

1. Product Information, Availability & Pricing

We make reasonable efforts to display accurate product information, images, prices, specifications, availability, materials, gemstone details, carat weights, measurements, and descriptions. However, we do not guarantee that all product descriptions, images, pricing, availability, or other content will be complete, current, accurate, or error-free at all times.

Product images may vary from the actual item due to lighting, photography, screen display, sizing, natural variations in diamonds, gemstones, gold, metals, and handmade or custom production.

Prices, promotions, availability, product specifications, and shipping options may change without notice. We reserve the right to correct errors, cancel orders, update product information, refuse orders, or revise pricing where an error or issue has occurred, including after an order has been submitted.

1. Orders & Order Acceptance

Submitting an order does not guarantee acceptance of the order. All orders are subject to review, approval, payment confirmation, inventory availability, fraud screening, security review, shipping eligibility, and verification where required.

We reserve the right to refuse, cancel, limit, or hold any order for any reason, including suspected fraud, unauthorized activity, payment issues, pricing errors, inventory issues, product availability, shipping restrictions, incomplete information, or violation of these Terms.

For security purposes, Icebox does not process purchases over the phone. Purchases must be completed through our showroom or online checkout unless Icebox provides written instructions for an approved payment process.

1. Payment

Available payment methods are shown at checkout and may include credit card, debit card, PayPal, Shop Pay, Apple Pay, Amazon Pay, Affirm, Klarna, Afterpay, wire transfer, BitPay, cryptocurrency payment options, or other payment methods made available by Icebox.

All payment methods are subject to approval, verification, and the terms of the applicable third-party payment provider. Icebox is not responsible for the decisions, errors, delays, fees, disclosures, financing terms, or account actions of third-party payment processors, financing providers, banks, or cryptocurrency payment providers.

If you use multiple forms of payment, financing, wire transfer, cryptocurrency, or another non-standard payment method, additional instructions, verification, processing time, or approval may be required.

Orders are not considered final until payment is confirmed and Icebox accepts the order.

1. Fraud Prevention & Verification

Because Icebox sells high-value jewelry, watches, diamonds, and related products, we use fraud-prevention tools and manual review processes to protect customers and prevent unauthorized transactions.

If an order is flagged as potentially fraudulent or requires additional verification, Icebox may require identity, payment, or order verification before processing or shipping the order. Verification may include a valid government ID, payment-card verification materials, video-call verification, proof of payment, or other information reasonably needed to confirm the transaction.

Failure to complete required verification may result in order delay or cancellation.

1. Shipping & Delivery

Shipping options, shipping costs, delivery estimates, insurance, tracking, and signature requirements are governed by our Shipping Policy and by the shipping method selected or assigned for your order.

All Icebox shipments are sent using secure, discreet packaging and include tracking and insurance for the item value. Adult signature is required at delivery.

Delivery dates and shipping timelines are estimates only and are not guaranteed. Shipping may be delayed due to order verification, item availability, production timelines, carrier delays, customs clearance, weather, holidays, peak seasons, or events outside Icebox’s control.

International customers are responsible for customs fees, duties, taxes, import charges, and other amounts imposed by the destination country or region. Icebox is not responsible for refunds where an international package is delayed, returned, lost, or abandoned due to non-payment of customs fees, duties, taxes, or import charges.

1. Returns, Refunds & Exchanges

All sales are final. Icebox does not accept returns for refunds and does not issue cash refunds or payment refunds, except where required by applicable law.

Exchange eligibility, exchange timing, exchange category rules, item condition requirements, and instructions for requesting an exchange are governed by our Return & Refund Policy.

1. Custom, Made-to-Order, Sized, or Modified Items

Certain Icebox products may be custom, made to order, sized, modified, engraved, altered, or specially produced for a customer.

Once an order has been placed and confirmed, and once the item is in the process of being created, Icebox may be unable to make changes to the design, metal color, diamond quality, size, specifications, or other order details.

Custom design projects may require a deposit, approval process, additional communications, and variable production timelines depending on the complexity of the project. Any custom-project deposit, balance, timeline, or project-specific term presented during checkout or consultation will apply to that project.

1. Warranty

Icebox products are backed by a one-year limited warranty from the original purchase date, subject to inspection and the terms of our Warranty Policy.

Warranty coverage may include substantial manufacturing defects in materials or workmanship and normal wear under typical use. Warranty coverage does not apply to misuse, negligence, accidental damage, incidental damage, third-party modifications or repairs, loss, theft, cosmetic wear beyond normal use, certain invisible set items, certain center diamond setting/prong/head repairs, diamonds larger than 0.10ct each, or other exclusions listed in the Warranty Policy.

Icebox reserves the right to repair or replace eligible items at its discretion.

1. Watches & Third-Party Brands

Icebox may offer luxury watches and other products associated with third-party brands. Icebox is not an authorized dealer for any watch brands unless expressly stated in writing by Icebox.

Watches purchased through Icebox come with a one-year Icebox warranty in place of a manufacturer’s warranty, unless otherwise stated in writing.

All third-party brand names, trademarks, and product names belong to their respective owners. Any reference to a third-party brand is for product identification only and does not imply sponsorship, endorsement, or authorized-dealer status.

1. Intellectual Property

All content on the website, including text, images, videos, logos, graphics, product designs, page layouts, icons, code, photography, branding, lookbooks, copy, and other materials, is owned by Icebox or its licensors and is protected by copyright, trademark, trade dress, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, publish, display, sell, license, scrape, download, create derivative works from, or otherwise use any Icebox content without our prior written consent.

1. User Submissions

If you submit, upload, email, text, or otherwise provide images, references, reviews, designs, ideas, feedback, comments, custom jewelry concepts, testimonials, or other content to Icebox, you represent that you have the right to provide that content.

You grant Icebox permission to use submitted content as reasonably necessary to provide services, respond to requests, develop custom designs, communicate with you, process orders, improve our services, and operate our business.

Do not submit any content that infringes the rights of another person or entity, violates any law, contains harmful code, or includes unlawful, abusive, misleading, or inappropriate material.

1. Third-Party Services and Links

Our website may include links to or integrations with third-party websites, payment providers, financing providers, shipping carriers, analytics tools, advertising platforms, social media platforms, insurance providers, and other services.

Icebox does not control and is not responsible for third-party websites, services, policies, content, actions, errors, fees, delays, approvals, denials, or data practices. Your use of third-party services is subject to the terms and policies of those third parties.

1. Marketing Communications

If you sign up for Icebox emails, SMS messages, or other marketing communications, you agree to receive promotional messages, product updates, private offers, event invitations, cart reminders, and related communications from Icebox.

You can unsubscribe from marketing emails by using the unsubscribe link in the email. You can opt out of SMS marketing by following the instructions in the message, such as replying STOP where applicable.

Transactional, order-related, account-related, warranty, legal, security, and customer-service messages may still be sent even if you opt out of marketing.

1. Website Disclaimers

The website, products, services, content, and all information made available through the website are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Icebox disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.

We do not guarantee that the website will be uninterrupted, secure, current, complete, accurate, or free of errors, viruses, or harmful components. We do not guarantee that product descriptions, pricing, inventory, images, or other website content will always be accurate or available.

1. Limitation of Liability

To the fullest extent permitted by law, Icebox shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or other intangible losses arising out of or related to your use of the website, products, services, or these Terms.

To the fullest extent permitted by law, Icebox’s total liability for any claim shall not exceed the amount you paid to Icebox for the product or service giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

You agree to indemnify, defend, and hold harmless ICEBOX, INC., Icebox Diamonds & Watches, and their owners, officers, directors, employees, contractors, agents, service providers, and affiliates from and against any claims, damages, liabilities, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms, misuse of the website, violation of law, infringement of rights, fraudulent activity, or information or content you provide to Icebox.

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms, the website, or your use of Icebox services shall be resolved in the courts located in Georgia, unless applicable law requires otherwise.

We may update or modify these Terms at any time. Changes are effective immediately when posted on the website, unless otherwise stated.

Your continued use of the website or services after updated Terms are posted means you accept the updated Terms. We encourage you to review these Terms periodically.
